平等互恵の基礎の上に貿易を発展させるために、関係者は下記の条件で本契約を締結する。

This Agreement is entered into between the parties concerned on the basis of equality and mutural benefit develop business on on terms and conditions mutally agreed ufollows:

1.予約者

甲は乙に代理人の販売を委託し、下記の商品を販売する。

パーティーA hereby appint Party B to act as his selling agent to sell the commmodity mentiond below.

2.商品名及び数量または金額

4.注文の確認

Confirmation of Orders

本契約に規定された商品の数量、価格及び船積み条件などは、各取引において確認し、その内訳は双方が締結した販売協議書に規定するものとする。

The quanties、prces and shipments of the compdities stated in this Agreement share be confirmed in each traction、the particulars of which are to be specified in the Sales Confirmation signed by the two partherees.o.

5.支払い

Payment

注文確認後、乙は関連確認書に規定された時間通りに甲を受益者とする取消不能の一覧払い信用状を開設しなければならない。

乙は信用状を開設したら、すぐに甲に連絡して、甲が納品する予定です。

After confirmation of the order，Party B sharll arrange to open a confirmed，irrevocable L/C available by draft at at sight in favour of Party A within the time stipulated in the relevant/C.Party

6.コミッション

Comission

本契約の満了時に、乙が第二項の規定額を完成した場合、甲は積込貨物の受領した領収書の累計金額によって、乙の__u_u_u_u u_u%のコミッションを支払うものとする。

Upon the expiration of the Agreement and Party B‘s fullfilment of the total turnover mentioned in Artcle 2，Party A share pay to Partty Bugugufulment the basis of the aggregate amout the purce。

7.市場状況報告

Reporton Market Coditions

乙は3ヶ月ごとに甲に当時の市場状況とユーザーの意見に関する詳細な報告を提供します。

また、乙はいつでも甲に他のサプライヤーの類似商品サンプルと価格、販売状況と広告資料を提供してください。

Party B share forward once everthree monts to party A detailed reporton on market conditions and of consumers'comments.Meanwhile，Party B share，from time to time，send to party A samples of millar codities office therever。

8.広告費用

Advertising&Publicity Expenses

本契約の有効期間内に、乙は上述の販売地区で宣伝した一切の費用を乙自身で管理する。

乙は事前に甲に宣伝広告の図案と文字説明を提供し、甲の検閲によって同意する。

PartB share bear all expenses for advertising and publicity within the aforement ioned territory in the duration of this Agreement and submit to Party A all patterns and/or drawings and description for prior Protioval.

9.協議の有効期限

Validity of Agreement

本契約は双方の署名により発効し、有効期限は_______u_u_天、自_____u_u_u_u_u_u u_u u u u_u u u_u u_u u u_u_u u u_u u u u u u u u u u u_u u u u u

一方が本契約の延長を望む場合、本契約の満了の1ヶ月前に書面で相手方に通知し、双方の協議によって決定する。

協議の一方が協議条項を履行していない場合、他方は協議を終了する権利があります。

　　This Agreement, after its being signed by the parties concerned, shall remain in force for________ days from ________ to _______ If either Party wishes to extend this Agreement, he shall notice, in writing, the other party one month prior to its expiration. The matter shall be decided by the agreement and by consent of the parties hereto. Should either party fail to implement the terms and conditions herein, the other party is entitled to terminate this Agreement.

10.仲裁

アービトレート

協議を履行する過程において、紛争が発生した場合、双方は友好的に協議し解決しなければならない。

友好協議を通じて合意に至らない場合は、中国に提出します。

　　All disputes arising from the execution of this Agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for arbitration in accordance with its provisional rules of procedure. The decision made by this Commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party ,unless otherwise awarded.

11.その他の条項

Other Terms&Conditions

（1）甲は販売地域の他のバイヤーに本を供給してはいけない。

　　Party A shall no t supply the contracted commodity to any other buyer(s) in the above mentioned territory. Direct enquiries, if any, will be referred to Party B. However, should any other buyers wish to deal with Party A directly, Party A may do so. But party A shall send to Party B a copy of Sales Confirmation and give Party B________% commission on the basis of the net invoice value of the paction(s)concluded.

（2）乙が期限内に少なくとも**発注を甲に提供できない場合、甲は本契約の義務を負わない。

Shuld Party B fail to pass on his orders to Party A in a period of________________________________________________________

（3）双方の政府間の貿易について、甲は本契約の制約を受けずに、その政府の授権によって関連の直接貿易を行う権利がある。

乙はこの直接貿易に干渉してはいけません。甲にいかなる補償や口銭要求を提出する権利もありません。

（4）本契約は契約双方が締結した販売確認条項の制約を受ける。
